Terms And Conditions

This Terms and Conditions Policy establishes the general terms that govern the relationship between Safe Welkin and its clients. It provides a legally binding framework for the delivery of services to client responsibilities, payments, data protection, liability, and dispute resolution.

The policy ensures that all engagements are conducted with transparency, professionalism, and mutual accountability.

This policy applies to:

  • All clients and customers of Safe Welkin (corporate or individual)
  • All services rendered by Safe Welkin, including but not limited to:
    • Training & Certification
    • Consulting
    • Audits & Compliance Assessments
    • Digital Products (e.g., templates, reports, eBooks)

General Terms of Engagement

  • Services are rendered only upon acceptance of a formal quotation, invoice, or signed agreement.
  • Engagements are subject to these Terms & Conditions, in addition to any service-specific agreement.
  • By engaging our services, the Client agrees to abide by this policy.

Client Responsibilities

Clients are expected to:

  • Provide accurate and complete information during onboarding or service scoping
  • Meet agreed timelines for inputs, approvals, and communication
  • Respect scheduled appointments, workshops, and deadlines
  • Maintain professionalism when interacting with Safe Welkin staff or representatives

Pricing, Invoicing & Payment Terms

  • All services are billed as per the latest pricing communicated in writing.
  • Full or partial payment may be required upfront, based on service type.
  • Payment is due within [7–14 days] of invoice issuance, unless otherwise stated.
  • Late payments may attract interest or delay in service delivery.
  • All fees are exclusive of VAT or applicable government taxes unless stated otherwise.

Service Delivery

  • Safe Welkin shall deliver services professionally, in accordance with agreed timelines and scope.
  • Service delivery may be virtual, hybrid, or physical based on agreement.
  • Any delays caused by the Client (e.g., missed sessions or late submissions) may alter timelines and attract additional charges.

Amendments, Rescheduling & Cancellations

  • Clients may reschedule or cancel services in accordance with our Cancellation Policy.
  • Safe Welkin reserves the right to amend services in cases of force majeure, regulatory changes, or client non-cooperation.
  • All changes must be communicated in writing.

Confidentiality and Data Protection

-Safe Welkin commits to maintaining the confidentiality of client information. -Data collected from clients will be processed in line with Nigeria’s Data Protection Act (NDPA 2023) and ISO 27001:2022 principles. -Clients are equally expected to respect confidentiality of Safe Welkin’s intellectual property or methodologies.

Intellectual Property Rights

  • All training materials, tools, templates, SLA, and reports remain the property of Safe Welkin unless explicitly transferred.
  • Clients are granted a non-transferable, non-commercial license to use such materials solely for internal use.
  • Redistribution or commercial use without prior written consent is prohibited.

Limitation of Liability

  • Safe Welkin shall not be liable for any indirect, incidental, or consequential damages arising from use or inability to use its services.
  • Total liability under this policy is limited to the value of the fees paid for the service in question.

Termination of Services

-Safe Welkin may terminate service delivery if the client violates these Terms or fails to comply with agreed conditions. -Upon termination, outstanding payments must be settled promptly.

Force Majeure

Safe Welkin shall not be held liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to:

  • Natural disasters
  • War or civil unrest
  • Government actions
  • Internet or utility disruptions

Governing Law and Dispute Resolution

  • These Terms shall be governed by the laws of the Federal Republic of Nigeria.
  • Disputes shall first be resolved amicably; unresolved matters may be escalated to arbitration in Lagos, Nigeria.
